This section governs the use of distributed ledger technology (DLT), digital assets, and third-party services on the Platform. By using these features, you acknowledge and agree to the following terms and the inherent risks associated with them.
7.1. Non-Custodial Technology: The Platform operates on a non-custodial model and XPharms Xchange never takes custody of, holds, or has access to user crypto-assets or their private keys. All transactions are routed through a smart contract that acts as a programmatic, non-human escrow agent. Users retain full control over their funds at all times through their own self-custodial wallets. Your relationship with any third-party providers for services such as non-custodial wallet management or fiat on/off-ramps is governed by their respective terms of service. We are not responsible for any security breaches or losses of funds that occur within these third-party services.
7.1.1. Smart Contract as Programmatic Escrow Agent: The Parties acknowledge and agree that the Smart Contract acts as the sole, non-human, and non-discretionary escrow agent for the funds committed by the Buyer. The Platform Operator's role in the smart contract is purely ministerial, limited to submitting a factual confirmation of a completed milestone. The Platform Operator is contractually prohibited from using any administrative access to alter the core transaction logic or gain discretionary control over user funds.
7.2. Irreversibility and User Error
You acknowledge that all transactions on the blockchain are irreversible and final. Once a payment is initiated and confirmed, it cannot be canceled, reversed, or recalled. XPharms Xchange is not responsible for any loss of funds resulting from your error, including but not limited to:
Sending payments to an incorrect or unverified recipient address.
Selecting the wrong blockchain network for a transaction.
Transferring an unsupported or incorrect digital asset (e.g., a non-stablecoin token).
Any issues related to your use of the custodial wallet service, such as a lost password or unauthorized access to your account.
You are solely responsible for verifying all transaction details before authorizing any payment. Due to the irreversible nature of blockchain, lost funds cannot be recovered by XPharms Xchange.
7.3. No Financial Advice
XPharms Xchange provides a platform for B2B transactions and is not a financial institution. We do not provide financial, legal, or investment advice. The value of cryptocurrencies and stablecoins can be volatile, and you should be aware of these risks. Any information provided on our platform is for informational purposes only.
7.4. Third-Party Service Disclaimer
The Platform integrates with third-party services for payments and other functions. While we have selected these partners, we do not control their operations. We are not responsible for the functionality, security, or policies of these services. Your use of these third-party services is at your own risk. We expressly disclaim all liability for any issues, including hacks, outages, or fund losses, that arise from your use of these services.
7.5. Pseudonymity of Transactions
To protect your business's financial privacy, XPharms Xchange's payment system is designed to use a smart contract as an intermediary. While transactions are recorded on a public ledger, they will show interactions with the smart contract's address, not your personal wallet address directly. This provides a layer of pseudonymity by obscuring direct wallet-to-wallet links from public view. You agree not to attempt to de-anonymize or track the financial activity of other users through public ledger data.
7.6. Tax & Legal Compliance
You are solely responsible for understanding and complying with all tax, legal, and regulatory obligations in your jurisdiction related to your use of stablecoins for payments. XPharms Xchange does not provide legal or tax advice, nor is it responsible for the tax implications of your transactions.
7.7. No Obligation to Accept
XPharms Xchange does not require any User to accept stablecoin payments. The choice to accept stablecoin payment for a transaction is made solely by the Buyer and Seller in their separate Contract Agreement.
